Proceedings below:     District court entered judgment in favor of West Gate Bank on Irwin’s claims and dismissed West Gate’s counterclaim as moot.

Issues: Whether the doctrine of res judicata applied to the question whether the document at issue was an assignment or release of West Gate’s security interest in certain property; whether the document at issue was a contract between the parties; and whether the document at issue was a warranty from West Gate to Irwin.
